En savoir plusJ.S. Held was retained by counsel representing a California municipality involved in a series of complex financial and operational matters related to the management of a major NFL stadium. The municipality and the NFL franchise operated under a 40-year lease agreement that governed rent payments, revenue-sharing arrangements, and the allocation of certain operating costs.
The engagement began when the NFL franchise invoked a lease provision permitting a rent adjustment based on actual operating results. The original rent structure was established based on long-term projections of stadium revenues and expenses, with the understanding that the assumptions could be revisited if actual performance deviated materially from expectations. The municipality engaged our team to independently evaluate the underlying financial assumptions, analyze actual operating performance, and assess the appropriateness of the requested rent adjustment.
Following that assignment, we assisted with additional matters involving stadium operations and financial performance. These included evaluating the profitability of non-NFL events, assessing revenue-sharing and reporting practices, and analyzing escalating public safety costs associated with stadium operations.
The non-NFL event review focused on concerts, collegiate sporting events, soccer matches, wrestling events, and other major entertainment activities hosted at the facility. While these events had historically generated significant revenue for the municipality, returns declined over time, leading stakeholders to seek an independent assessment of event profitability, cost allocation methodologies, and operational reporting practices.
At the same time, public safety expenses for police services, fire protection, traffic management, and event support continued to increase, raising questions about the primary drivers of these costs and the effectiveness of existing cost-sharing arrangements.
Given the high-profile nature of the venue, the public visibility of the issues involved, and the complexity of the financial relationships among stakeholders, the municipality required an independent advisor. Our team was engaged to objectively evaluate financial and operational data, communicate findings to diverse audiences, and provide a reliable foundation for informed decision-making.
J.S. Held provided multidisciplinary financial, operational, and advisory services to help the municipality evaluate key issues affecting stadium economics, operational performance, and stakeholder decision-making.
The engagement began with an independent assessment of the lease's rent-adjustment provisions. Our team analyzed the financial assumptions underlying the original long-term projections, reviewed actual operating performance, and evaluated whether the requested rent adjustment was supported by the available financial data. We developed detailed financial analyses and provided expert support throughout the dispute resolution process, helping stakeholders understand the economic implications of potential changes to the lease structure.
Building on that work, we evaluated the financial performance of non-NFL events hosted at the stadium. Our experts analyzed revenues, expenses, operating results, and reporting practices associated with concerts, collegiate sporting events, soccer matches, wrestling events, and other entertainment activities. Through this review, we identified the factors influencing event profitability, assessed revenue-sharing methodologies, and provided recommendations to improve financial transparency and reporting practices.
J.S. Held also assisted the municipality in evaluating increased public safety expenditures associated with stadium operations. Our team analyzed costs for police services, fire protection, traffic management, and event support activities to identify key cost drivers and better understand evolving operational requirements. To support ongoing management and oversight efforts, we developed data-driven reporting tools and analyses that enabled stakeholders to more effectively evaluate expense trends and operational impacts.
Throughout the engagement, our team served as a trusted independent advisor, providing objective analyses, expert support, and practical recommendations. Our work helped stakeholders improve transparency, strengthen oversight, better understand the financial and operational drivers affecting stadium performance, and make informed decisions regarding the long-term management of a high-profile public venue.
